Terms of service

These Terms of Service ("Terms") are an agreement between you and Njord Gear LLC, a Wyoming limited liability company that does business as "Njord Gear" and "Njord Gear Co." ("Njord Gear," "we," "us"). They govern your use of njordgearco.com, njord-gear.com and related pages, and any purchase from us (together, the "Services"). Our store runs on Shopify Inc.'s e-commerce platform.

Please read Section 17 carefully. It requires most disputes to be resolved by individual binding arbitration, not in court, and waives class actions and jury trials, except where the law doesn't allow it. You can opt out of arbitration within 30 days, as explained in Section 17.

1. Accepting these Terms

By using the Services or placing an order, you agree to these Terms, our Privacy Policy, Refund Policy and Shipping Policy, which are part of these Terms. If you don't agree, please don't use the Services.

2. Eligibility and accounts

You must be at least 18, or the age of majority where you live, to buy from us. If you create an account, keep your login secure and your information accurate. You're responsible for activity under your account.

3. Products and health features

We try to show products, colors, features and specifications accurately. Your screen may display colors differently, and products may change slightly between production runs.

Not a medical device. Health and fitness features on our smartwatches (including heart rate, blood oxygen, blood pressure, sleep and activity tracking) are for general wellness and informational use only. They aren't intended to diagnose, treat, cure, monitor or prevent any disease or condition, and they don't replace professional medical advice. Talk to a doctor about any health concerns.

Safety. Follow the product guide, including charging, water-resistance and jobsite safety instructions. Don't let a device distract you while you drive or run equipment.

4. Orders, pricing and availability

• Your order is an offer to buy. We accept it when we ship it. We'll send an order confirmation email, but that email isn't acceptance.
• We may limit quantities, refuse or cancel orders (for example, for suspected fraud, resale or a pricing error), and discontinue products. If we cancel an order after you've paid, we'll refund you in full.
• Prices are in the currency shown at checkout and may change at any time. A price change doesn't affect an order we've already accepted.
• If a product is listed at an obviously incorrect price because of a typo or system error, we may cancel the order and refund you, even after you received a confirmation.
• Any "compare at" or "was" price is our good-faith reference price for the product or the items in the bundle.

5. Payment and taxes

You authorize us and our payment providers to charge your chosen payment method for your order total, including taxes and any shipping fees. If you use a buy-now-pay-later provider, that provider's terms also apply. We collect sales tax where the law requires it.

6. Shipping, title and risk of loss

Shipping is described in our Shipping Policy. Title to products and risk of loss pass to you when the products are delivered to your shipping address.

7. Returns and warranty

Returns, refunds and our 1-Year Limited Warranty are described in our Refund Policy.

8. Promotions, discounts and free gifts

Discount codes and promotions apply only as stated, can't be combined unless we say so, have no cash value, and may end at any time. Free gifts are subject to availability, and we may substitute an item of equal or greater value. Giveaways and contests have their own official rules.

9. Subscriptions and automatic renewal (including NjordCare+)

Some offers, such as the NjordCare+ protection plan, are subscriptions that renew automatically. Before you subscribe, we'll clearly show the price, billing frequency, that the subscription continues until you cancel, and how to cancel. We charge you only with your affirmative consent.

• Renewal: your subscription renews automatically each billing period at the then-current price, charged to your payment method on file, until you cancel.
• How to cancel: you can cancel at any time, online, from your account on the Site or using the cancellation link in your confirmation email. You can also cancel by emailing contact@njord-gear.com. Cancellation takes effect at the end of your current billing period.
• Notices: we'll send you an acknowledgment of your subscription terms and how to cancel after you sign up. We'll notify you in advance of any price change, of any free trial or promotional price ending, and at least once a year for annual plans.
• Refunds: charges for past billing periods aren't refunded, except where the law requires it (for example, prorated refunds for Quebec residents).

Subscription plans may have their own terms, which apply alongside these Terms.

10. Reviews, comments and other content you submit

You can post honest reviews and opinions about our products, positive or negative. Nothing in these Terms limits your right to do so. By submitting a review, photo, video, comment or idea ("Content"), you confirm it is truthful and yours to share. You also grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, display and adapt it, with your name or handle if you included one, in connection with our business and marketing. We may remove Content that is unlawful, abusive, off-topic, spam or infringing, or that contains personal information. We don't remove reviews because they are negative. Creator and UGC program submissions are governed by that program's separate agreement.

11. Intellectual property

The Services and everything on them, including the Njord Gear name, logos, text, images, videos and designs, are owned by or licensed to Njord Gear and protected by intellectual property laws. You may use the Services for personal, non-commercial shopping. You may not copy, scrape, resell or create derivative works from them without our written permission.

12. Prohibited uses

You agree not to use the Services to break any law; infringe anyone's rights; submit false information or fraudulent orders; resell products commercially without our permission; interfere with the Services' security or operation; upload malware; or use bots, scrapers or automated tools without our permission.

13. Third-party services and links

The Services may link to or use third-party services (such as payment providers, carriers, review platforms and apps). We're not responsible for their content, policies or practices. Your use of them is subject to their terms.

14. Disclaimers

Except for our 1-Year Limited Warranty and any warranty that can't be excluded by law, the Services and site content are provided "as is" and "as available." To the fullest extent the law allows, we disclaim all other express warranties. Any implied warranties of merchantability or fitness for a particular purpose on products are limited to the one-year term of our Limited Warranty. We don't guarantee that the Site will be uninterrupted, error-free or free of harmful components. Some states and provinces don't allow these disclaimers, so they may not apply to you.

15. Limitation of liability

To the fullest extent the law allows, Njord Gear and its members, managers, employees and suppliers won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or lost data, arising from the Services or our products. Our total liability for any claim is limited to the amount you paid for the product or service that gave rise to the claim. These limits don't apply to liability for death or personal injury caused by our negligence, for fraud, or to any other liability that can't be limited by law. Some jurisdictions (including New Jersey and Quebec) don't allow some or all of these limits, so they may not apply to you.

16. Indemnification

To the extent the law allows, you agree to indemnify and hold Njord Gear harmless from third-party claims, losses and reasonable legal fees arising from your breach of these Terms, your misuse of the Services, or Content you submit. This section doesn't apply to consumers where the law prohibits it.

17. Dispute resolution and arbitration (U.S. customers)

a. Informal resolution first. Most issues are resolved quickly by contacting us. Before starting arbitration or a court case, you and we each agree to send the other a written notice describing the dispute and the relief requested. Send your notice to contact@njord-gear.com or to Njord Gear LLC, 312 W 2nd St, Casper, WY 82601. Both sides will try in good faith to resolve the dispute for 60 days after the notice is received. Statutes of limitation are paused during this period.

b. Binding individual arbitration. If the dispute isn't resolved, you and Njord Gear agree that any dispute, claim or controversy arising from or relating to these Terms, the Services or any product we sell will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitrator decides all issues, including the scope and enforceability of this Section, except as stated in sections (d) and (f). The arbitration will take place in the county where you live, or remotely by video or written submissions if you prefer. The Federal Arbitration Act governs this Section.

c. Costs. Payment of filing, administrative and arbitrator fees follows the AAA Consumer Fee Schedule. We'll pay any of those fees beyond the amount you would pay to file in your local court. Each side pays its own lawyers' fees unless the arbitrator awards fees under applicable law.

d. Exceptions. Either side may bring an individual claim in small claims court if it qualifies, or seek a court order to stop infringement of intellectual property. Nothing in this Section stops you from reporting issues to a government agency. Nothing in this Section waives your right to seek public injunctive relief where applicable law (such as California law) doesn't allow that right to be waived. Any such claim will be heard in court after the individual arbitration of your other claims is finished.

e. Class action and jury trial waiver. You and we agree to bring claims only on an individual basis, not as a plaintiff or class member in any class, collective or representative proceeding. The arbitrator may award relief only to the individual party and only to the extent needed for that party's individual claim. YOU AND NJORD GEAR WAIVE ANY RIGHT TO A JURY TRIAL.

f. Mass filings. If 25 or more similar arbitration demands are filed by or with the help of the same law firm or organization, the AAA's Mass Arbitration Supplementary Rules will apply. The demands will be administered in batches, and either side may ask a court to enforce this subsection.

g. Opt-out. You can opt out of this arbitration agreement within 30 days after you first accept these Terms. Email contact@njord-gear.com with the subject "Arbitration Opt-Out" and include your name, email and order number. Opting out doesn't affect any other part of these Terms.

h. Severability. If the class action waiver in (e) is found unenforceable for a claim, that claim (and only that claim) will be heard in court and not in arbitration. If any other part of this Section is found unenforceable, the rest stays in effect.

i. Changes. If we change this Section, the change won't apply to disputes you notified us about before the change, and you can reject it by emailing us within 30 days.

18. Canadian customers

If you live in Canada, the arbitration agreement and class action waiver in Section 17 don't apply where your provincial consumer protection law prohibits them (including in Quebec and Ontario). You may bring claims in the courts of your province. Nothing in these Terms limits the rights you have under your province's consumer protection laws, including the legal warranty under the Quebec Consumer Protection Act.

19. Governing law and venue

These Terms are governed by the laws of the State of Wyoming, U.S.A., without regard to conflict-of-law rules, and by the Federal Arbitration Act for Section 17. This choice of law doesn't take away any protections you have under the mandatory consumer laws of the state, province or country where you live. For any matter that goes to court under these Terms, you and we agree to the jurisdiction of the state and federal courts in Natrona County, Wyoming, unless the law where you live gives you the right to sue in your local courts.

20. Changes to these Terms

We may update these Terms. The version in effect when you place an order applies to that order. We'll change the "Last updated" date above, and if the changes are material, we'll give notice on the Site or by email. Your continued use of the Services after changes take effect means you accept them.

21. General

These Terms and the policies they reference are the entire agreement between you and us about the Services. If any provision is unenforceable, the rest stays in effect. Our failure to enforce a provision isn't a waiver. You may not assign these Terms without our consent. We may assign them to a successor. We aren't responsible for delays caused by events beyond our reasonable control. The section headings are for convenience only.
